1. AGREEMENT TO TERMS

These Terms and Conditions constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you"), and Inflexion AI Pty Ltd. ("Company", "we", "us", or "our"), concerning your access to and use of The Hiring Platform portal and recruitment platform (collectively, the "Platform"). We are registered in Australia, and our registered office is located at Suite 109/3, Albert Coates Lane, Melbourne, Victoria 3000, Australia.

By accessing the Platform, you agree that you have read, understood, and agree to be bound by all of these Terms and Conditions. If you do not agree with all of these Terms and Conditions, you are expressly prohibited from using the Platform, and you must discontinue use immediately.

Supplemental terms and conditions or documents may be posted on the Platform from time to time, and are hereby expressly incorporated herein by reference. We reserve the right, in our sole discretion, to make changes or modifications to these Terms and Conditions at any time and for any reason. You are responsible for regularly reviewing the applicable Terms. Your continued use of the Platform following the posting of revised Terms indicates your acceptance of those changes.

The Platform is intended for users who are at least 18 years old. Persons under the age of 18 are not permitted to use or register for the Platform. We reserve the right to restrict or terminate access to the Platform for users who do not comply with these Terms or applicable laws.

The Platform provides recruitment services, including a job application portal where applicants can submit their information, be vetted and evaluated using AI technology, and be matched with potential employers. Our recruitment technology platform enables efficient candidate placement and evaluation, ensuring a streamlined hiring process for both applicants and employers. We make every effort to ensure the accuracy and reliability of the information available on the Platform, but we do not guarantee that the Platform will meet your specific requirements or expectations.

2. INTELLECTUAL PROPERTY RIGHTS

Unless otherwise indicated, the Platform is our proprietary property and all source code, databases, functionality, software, website designs, text, graphics, and trademarks contained therein are owned or controlled by us or licensed to us, and are protected by copyright and trademark laws.

Provided that you are eligible to use the Platform, you are granted a limited license to access and use the Platform solely for personal, non-commercial purposes related to recruitment opportunities. This license is revocable at any time, and it does not allow you to make any unauthorized use of the Platform, including reproduction, redistribution, or modification of any part of the Platform.

All content on the Platform is provided for informational purposes only, and you agree not to use any content in a manner that would violate our intellectual property rights or those of others. Unauthorized use of the content may result in civil or criminal penalties under applicable laws.

3. USER REPRESENTATIONS

By using the Platform, you represent that: (1) all registration information you submit will be true, accurate, current, and complete; (2) you are of legal age to form a binding contract; and (3) your use of the Platform will comply with these Terms and all applicable laws.

You also agree that you will not submit any information or content that is false, misleading, or intended to misrepresent your qualifications. We reserve the right to verify the accuracy of the information you provide, and we may suspend or terminate your access to the Platform if we determine that any information is inaccurate, false, or misleading.

Your use of the Platform is subject to all applicable local, state, and federal laws, and you are solely responsible for ensuring that your use of the Platform is in compliance with all applicable regulations. We are not liable for any consequences arising from your failure to comply with these requirements.

4. USER REGISTRATION

You may be required to register with the Platform in order to access certain features or services. You agree to keep your password confidential and will be responsible for all use of your account. We reserve the right to remove, reclaim, or change a username you select if we determine, in our sole discretion, that such username is inappropriate, obscene, or otherwise objectionable.

In order to register, you must provide certain personal information, including your name, email address, and other relevant details. We use this information to create your account and provide the services offered through the Platform. You agree to provide accurate and up-to-date information, and you must promptly update your account information if it changes.

We may suspend or terminate your access to the Platform if we suspect that any unauthorized use of your account has occurred or if we determine that you have violated any provision of these Terms. You are responsible for all activity that occurs under your account, and you agree to notify us immediately of any unauthorized use or breach of security.

5. PROHIBITED ACTIVITIES

You may not use the Platform for any purpose other than that for which we make the Platform available. Prohibited activities include, but are not limited to, circumventing security measures, uploading harmful content, impersonation, and using the Platform for any unauthorized commercial purposes.

You agree not to engage in any activities that would interfere with the normal functioning of the Platform or that would impose an unreasonable or disproportionately large load on our infrastructure. This includes, but is not limited to, attempting to bypass any security measures, using any automated system to access or scrape data from the Platform, and introducing any malicious software or viruses.

You further agree not to use the Platform to harass, abuse, or harm other users, and not to engage in any activities that could damage our reputation or the reputation of our partners or clients. Any violations of these prohibitions may result in the suspension or termination of your account and may lead to legal action.

Anti-Doxxing and Information Protection

You are strictly prohibited from sharing, publishing, or distributing personal information about other users or any individuals without proper authorization. This includes but is not limited to addresses, phone numbers, family details, or any other personal information that could be used to identify, locate, or harass individuals. Violations of this provision may result in immediate account termination and potential criminal penalties under Australian law, including imprisonment for up to 7 years.

We reserve the right to investigate and take appropriate action, including legal proceedings, against anyone who, in our sole discretion, violates these Terms or engages in prohibited activities. This may include reporting such users to law enforcement authorities and cooperating fully with any investigation.

6. USER GENERATED CONTRIBUTIONS

The Platform may allow you to post comments, suggestions, or other content ("Contributions"). By posting Contributions, you grant us the rights to use, modify, and distribute them as we deem fit, subject to our policies and applicable law.

Your Contributions must be your original work, and you must have the rights necessary to submit them. You agree not to submit any content that infringes on the rights of any third party, including intellectual property rights, privacy rights, or other proprietary rights. You also agree not to submit any content that is false, defamatory, obscene, or otherwise inappropriate.

By submitting Contributions, you represent and warrant that you have the necessary permissions to grant us the rights to use and distribute your Contributions, and that your Contributions do not violate any applicable laws or the rights of others. We reserve the right to remove or modify any Contributions at our sole discretion.

Contributions are made voluntarily, and you acknowledge that we may use or disclose any ideas, concepts, or information contained in your Contributions without compensation to you. You agree that you will not assert any claims against us for any use of your Contributions.

7. CONTRIBUTION LICENSE

By posting Contributions, you grant us a non-exclusive, royalty-free, transferable license to use, distribute, and display such Contributions for any purpose, including commercial purposes. This license is perpetual and applies to all media and formats now known or hereafter developed.

You also waive any moral rights you may have in your Contributions, including the right to be identified as the author of your Contributions and the right to object to any derogatory treatment of your Contributions. You acknowledge that we may use your Contributions without crediting you as the author and that we may modify or alter your Contributions as we see fit.

We do not assert ownership over your Contributions, and you retain any rights you may have in the original content you submit. However, you acknowledge that we have the right to use, modify, and distribute your Contributions in any manner we see fit, and that we may sublicense these rights to third parties.

8. SUBMISSIONS

Any questions, comments, suggestions, or other information provided by you to us are non-confidential and shall become our sole property. We are entitled to the unrestricted use and dissemination of these Submissions for any lawful purpose, without acknowledgment or compensation to you.

You represent and warrant that your Submissions are your original work, and that you have the rights necessary to grant us ownership of your Submissions. You agree that you will not assert any claims against us for any use of your Submissions, and that you waive any moral rights you may have in your Submissions.

We may use any ideas, concepts, or information contained in your Submissions to develop, improve, or market our products or services, and you hereby consent to such use. You acknowledge that we may use your Submissions without your consent and without any obligation to provide you with credit or compensation.

9. PLATFORM MANAGEMENT

We reserve the right to monitor and manage the Platform to ensure compliance with these Terms and applicable laws. This includes, but is not limited to, monitoring user activity, reviewing Contributions, and investigating any suspected violations of these Terms.

We may take any action we deem appropriate to ensure the proper functioning of the Platform, including removing or modifying content, suspending or terminating user accounts, and restricting access to certain features or services. We may also take legal action against users who engage in prohibited activities or who violate these Terms.

We have no obligation to monitor user activity or to enforce these Terms, but we reserve the right to do so at our sole discretion. You agree that we are not liable for any damages or losses resulting from our monitoring or management of the Platform, and that we have no responsibility to take any action against users who violate these Terms.

10. PRIVACY POLICY

We value your privacy. Please refer to our Privacy Policy for more information on how we collect, use, and protect your data. The Platform uses AI to process applications, but does not store any confidential or sensitive data beyond what is necessary for recruitment purposes.

AI Use and Transparency

We use artificial intelligence technology to assist in processing and evaluating job applications submitted through the Platform. Our AI systems perform the following functions:

• Resume Parsing:AI technology automatically extracts and organizes information from submitted resumes and application materials
• Candidate Ranking:AI assists in ranking candidates based on job requirements to help prioritize applications for human review
• Human Oversight:All AI-generated assessments and rankings are subject to human review before any employment-related decisions are made. AI technology does not make final hiring decisions - it serves only to organize and prioritize information for human decision-makers.

AI Training and Data Use

Our AI systems use standard, commercially available models (such as OpenAI GPT or Anthropic Claude) and do not use proprietary training data specific to our platform. We do not use candidate information to train or improve AI algorithms. AI models are updated as needed to maintain performance and accuracy.

Candidate Rights

If you believe an AI-assisted decision has negatively impacted your application, you have the right to request human review of your application by contacting us at our recruitment email. We will ensure that a qualified human reviewer evaluates your application independently of any AI assessment.

The information we collect is used to provide and improve our recruitment services, to communicate with you, and to comply with legal obligations. We take reasonable measures to protect your data from unauthorized access, use, or disclosure, but we cannot guarantee the absolute security of your information. By using the Platform, you acknowledge that your information may be transmitted over the internet, and that we are not responsible for any interception or misuse of your information during transmission.

11. COPYRIGHT INFRINGEMENTS

If you believe content on the Platform infringes your copyright, please notify us. We respect the intellectual property rights of others, and we take allegations of copyright infringement seriously.

To file a copyright infringement claim, please provide us with the following information: (1) a description of the copyrighted work that you claim has been infringed; (2) a description of where the allegedly infringing material is located on the Platform; (3) your contact information, including your name, address, telephone number, and email address; (4) a statement that you have a good faith belief that the use of the material is not authorized by the copyright owner, its agent, or the law; and (5) a statement that the information in your notice is accurate and that you are authorized to act on behalf of the copyright owner.

Upon receiving a valid copyright infringement notice, we will remove or disable access to the allegedly infringing material and will take appropriate action against the user responsible for the infringement. We may also terminate the accounts of repeat infringers.

12. TERM AND TERMINATION

These Terms and Conditions shall remain in effect while you use the Platform. We reserve the right to terminate or suspend your use of the Platform at our discretion.

We may terminate your access to the Platform for any reason, including if we believe you have violated these Terms or any applicable law. We may also suspend your access to the Platform if we need to perform maintenance or if we believe that there is a security risk associated with your account.

Upon termination, your right to use the Platform will immediately cease, and you will no longer have access to your account or any data associated with it. We may retain certain information as required by law or as necessary to protect our legal interests.

You may terminate your use of the Platform at any time by discontinuing access to the Platform and deleting your account. Any obligations or liabilities incurred prior to termination will survive the termination of these Terms.

13. MODIFICATIONS AND INTERRUPTIONS

We reserve the right to modify or discontinue the Platform without notice. We are not liable for any modifications or interruptions.

The Platform may be subject to temporary interruptions due to maintenance, upgrades, or technical issues. We will make reasonable efforts to minimize such interruptions, but we cannot guarantee that the Platform will be available at all times.

We are not liable for any damages or losses resulting from interruptions to the availability of the Platform, and we are not responsible for any delays or failures in performance caused by circumstances beyond our reasonable control, including acts of nature, war, terrorism, labor disputes, or internet service provider failures.

We may modify the content or features of the Platform at any time, and we are not obligated to provide you with notice of such changes. Your continued use of the Platform following any modifications indicates your acceptance of the modified Platform.

14. GOVERNING LAW

These Terms are governed by the laws of Australia, including the Privacy Act 1988 (Cth) as amended by the Privacy and Other Legislation Amendment Act 2024. Any disputes will be resolved under Australian law.

Any disputes arising out of or relating to these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the courts located in Melbourne, Victoria, Australia. You agree that any legal action or proceeding arising out of or relating to these Terms must be brought in the courts of Australia, and you consent to the jurisdiction of such courts.

These Terms will not limit any consumer protection rights you may have under the laws of your country of residence. If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be severed, and the remaining provisions will remain in full force and effect.

15. DISPUTE RESOLUTION

Informal negotiations will be used to resolve disputes. If unresolved, disputes may be referred to arbitration as per Australian law.

Before initiating any formal dispute resolution proceedings, you agree to attempt to resolve the dispute informally by contacting us in writing and providing a description of the issue. We will attempt to resolve the dispute through good faith negotiations within thirty (30) days of receiving your notice.

If informal negotiations are unsuccessful, you agree to submit the dispute to binding arbitration under the rules of the Australian Centre for International Commercial Arbitration (ACICA). The arbitration will take place in Melbourne, Victoria, Australia, and the language of the proceedings will be English. The decision of the arbitrator will be final and binding on both parties.

Notwithstanding the above, we reserve the right to seek injunctive relief in any court of competent jurisdiction to protect our intellectual property rights or to prevent unauthorized use of the Platform.

16. CORRECTIONS

We reserve the right to correct any errors or inaccuracies on the Platform.

From time to time, there may be information on the Platform that contains typographical errors, inaccuracies, or omissions, including descriptions, pricing, availability, and other information. We reserve the right to correct any errors, inaccuracies, or omissions and to change or update the information on the Platform at any time without prior notice.

We make no guarantees regarding the accuracy, completeness, or timeliness of the information provided on the Platform. You acknowledge that any reliance on such information is at your own risk, and we disclaim any liability for errors or inaccuracies contained therein.

17. DISCLAIMER

The Platform is provided "as is" and "as available." We disclaim all warranties to the fullest extent permitted by law.

We make no representations or warranties of any kind, express or implied, regarding the operation of the Platform or the information, content, materials, or services provided on or through the Platform. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Platform will be uninterrupted or error-free, that defects will be corrected, or that the Platform or the servers that make it available are free of viruses or other harmful components. You use the Platform at your own risk, and you are solely responsible for any damage to your computer system or loss of data that may result from your use of the Platform.

18. LIMITATIONS OF LIABILITY

In no event will we be liable for any indirect or consequential damages arising from your use of the Platform.

To the fullest extent permitted by law, we will not be liable for any direct, indirect, incidental, special, or consequential damages arising out of or relating to your use of or inability to use the Platform, including but not limited to loss of profits, loss of data, or business interruption, even if we have been advised of the possibility of such damages.

Our total liability to you for any cause of action arising out of or relating to these Terms or your use of the Platform will not exceed the amount paid by you, if any, for access to the Platform during the six (6) months preceding the date of the claim. The foregoing limitations of liability apply to the fullest extent permitted by law.

19. INDEMNIFICATION

You agree to indemnify us against any claims arising from your breach of these Terms or misuse of the Platform.

You agree to defend, indemnify, and hold us, our affiliates, and our respective officers, directors, employees, and agents harmless from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees and costs, arising out of or in any way connected with: (1) your access to or use of the Platform; (2) your breach of these Terms; (3) any Contributions you submit; or (4) your violation of any rights of another person or entity.

We reserve the right, at our expense, to assume the exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate with us in the defense of such claims. You agree not to settle any claim without our prior written consent.

20. USER DATA

We will maintain certain data you transmit to the Platform. You are solely responsible for your data, and we disclaim any liability for data loss.

You acknowledge that any data you transmit to the Platform may be stored on our servers and used in connection with providing recruitment services. While we take reasonable measures to protect your data, we do not guarantee the security or integrity of your data, and you agree that we are not liable for any unauthorized access, use, or disclosure of your data.

You are responsible for maintaining backup copies of any data you transmit to the Platform, and you agree that we are not liable for any loss or corruption of your data. You also agree to provide accurate and up-to-date information, and you are solely responsible for any consequences resulting from the provision of inaccurate or outdated information.

We will retain your data for as long as necessary to fulfill the purposes for which it was collected, to comply with legal obligations, or to protect our legal interests. You may request that we delete your data by contacting us, subject to any legal requirements or legitimate business purposes that may prevent us from deleting your data.

21. ELECTRONIC COMMUNICATIONS, TRANSACTIONS, AND SIGNATURES

By using the Platform, you consent to electronic communications and transactions.

You agree that all agreements, notices, disclosures, and other communications we provide to you electronically, including through the Platform or via email, satisfy any legal requirement that such communications be in writing. You further agree to the use of electronic signatures, contracts, and records, and you waive any rights or requirements under any laws in any jurisdiction that require an original signature or delivery or retention of non-electronic records.

By using the Platform, you acknowledge that you have the necessary hardware and software to receive, access, and retain electronic communications, and that you are solely responsible for ensuring that your contact information is accurate and up-to-date.

22. MISCELLANEOUS

These Terms constitute the entire agreement between you and us. Any rights not expressly granted herein are reserved.

These Terms, together with our Privacy Policy and any other legal notices or policies posted on the Platform, constitute the entire agreement between you and us regarding your use of the Platform. If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision will be severed, and the remaining provisions will remain in full force and effect.

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision. We may assign these Terms, in whole or in part, at any time without notice to you. You may not assign your rights or obligations under these Terms without our prior written consent.

Nothing in these Terms creates any agency, partnership, joint venture, or employment relationship between you and us. These Terms are not intended to benefit any third party, and no third party has the right to enforce any provision of these Terms.
